- Special Dividend
Jardine Matheson Southeast Asia Limited (formerly Jardine Cycle & Carriage Limited) (“JC&C”) wishes to inform that at its Extraordinary General Meeting held on Thursday, 1st October 2026, the following matters were approved:
- the special dividend comprising a cash dividend of US 37₵ per share and distribution in specie of 7,226,200 shares of Toyota Motor Corporation (the “Toyota Distribution”);
- the amendment to the Constitution of JC&C; and
the change of name of JC&C from Jardine Cycle & Carriage Limited to Jardine Matheson Southeast Asia Limited.
No action is required from shareholders regarding the cash dividend of US 37₵ per share. The expected payment date is 2nd December 2026.
For the Toyota Distribution, JC&C will send a Cover Letter and an Instruction Form to shareholders. This is expected to be around 16th October 2026.
Using the Instruction Form, please indicate if you would like to instruct JC&C to sell your entitlement to the Toyota Distribution for cash, or if you would like to receive Toyota shares in your individual JASDEC account or a Qualified Brokerage or Custodian Account. Please refer to the Cover Letter for detailed instructions.
Please complete and sign the Instruction Form and return it to JC&C by email (as provided in the form) or by post using the prepaid envelope provided. Please do so by the deadline indicated in the form (expected to be 5.00 p.m. on 4 November 2026).
